How to wind up a dispensing optician company

Winding Up A Company

In these hard economic times business is very hard. If you are a company director looking for a bit of advice because your dispensing optician business is struggling, you have come to the right place. I have created many articles which try to help a director take the right steps in either closing or liquidating a business or pre-packing a sale and starting again.

Firstly if your dispensing optician company is insolvent you have a duty as a director to close the company and not incur any further debt, unless you can be pretty sure that you can put in place a rescue plan to turn that business around. If you can’t them you need to liquidate the company yourself or take professional advice on how best to close the business in an orderly fashion.

By far the most popular choice is to engage an insolvency practitioner to call a meeting of creditors on your behalf, prepare the statement of affairs, hold the meeting and then deal with all the procedural aspects of liquidation necessary to make sure all creditors now what is going on and how they can participate in any dividend. This is called a CVL or creditors voluntary liquidation.

There is a fee for all this and generally it will be about £5000 whoever you use around the country. There are some advertisements for liquidations at less than this but by the time all costs are accounted for, it will still come in at about the same sum.

These costs can come out of the assets of the dispensing optician company and indeed many businesses do have just enough assets or cash to take this final step. For many businesses, the central core of what the business does is still profitable and so often directors will want to continue to trade. This is easily possible and a sale of assets can be arranged to a new company and a lease re-assigned by a landlord, which often leaves the new company trading on in the same line of work from the same premises.

What’s The Real Deal with your optician and contact lens prescriptions? Do brands matter?

4

I have a recipe for a cerain brand of contacts – the most expensive. I want to buy some less expensive Acuvue. A friend of mine bought some online – and says he can not brand that wants to have it – it is only the size specs, only questions. Are the people working at the Optician centers try, just make me buy the more expensive, by reasons / excuses about the recipe? A girl who worked there said, if I wanted to go to the brand – I would have to be tested again and pay for another test! What the law says? Who is the authority on the power of contact lens prescriptions and the brands of products – from consumer to choose?

I am located a little short and have a slight astigmatism, I have been a number of different opticians and the perscription is always something different. I do not know if it is normal, but I always seem to struggle to focus on the eye chart, and if they ask me what characters I fight clearest ever know. I have never been able to read the last 2-3 lines on the map and what I Come Away With perscription I still struggle to read road signs. Why might that be?

Patrick and Menzies, Essex based optician leads motoring awareness campaign to get motorists to get their eyes tested

0

Patrick and Menzies, Opticians based in Braintree, West Mersea and Brightlingsea, Essex are calling on all drivers to check their vision following a recent survey revealed 10 per cent* of motorists would fail a re-take of the driving test because of poor sight. The survey also revealed 44 per cent* of all drivers do not have their eyes tested on a regular basis.

Gavin Rebello, Director, says: “In Essex there were 4995** road collisions in 2007, we want to help get these figures down. In the winter it becomes harder for us to see where we are going – especially in rush hour – when the light is either dulled or in total darkness. ”

He continued: “Your eyes are essential to driving safely, most of the information you take in when driving is visual, and if your eyesight isn’t up to scratch, you could be putting yourself and other road-users at risk. ”

Advanced eye tests check a motorist’s field of vision and will pick up on any problems or blind spots in the eye. Undetected blind spots can lead to a driver not being able to see what is happening at the sides of their vehicle, such as pedestrians stepping out into the road. To help motorists stay safe, Patrick & Menzies, has created a list of top ten tips:

1. If you need glasses for distance (including TV), wear them every time you drive, even for short distances.

2. Keep a spare pair of glasses and prescription sunglasses in your car. This is a legal requirement in many EU countries.

3. Make sure your glasses and the windscreen are clean.

4. Ensure your car lights work properly.

5. Don’t use tinted glasses in poor visibility or at night.

6. Be aware of poorly fitting and the cheaper varifocal designs – they can restrict your peripheral vision.

7. Remember that your sight can be affected by alcohol, prescription medicines and tiredness.

8. Don’t look too long at on-coming headlights – look slightly to the left of oncoming vehicles.

9. Have your sight tested regularly, especially if you are over the age of 50!

10. High quality anti-glare coatings for spectacles are also available to help motorists see more clearly.

* Survey undertaken by Sight Care – a nationwide trademark of quality for independent opticians.
